1. About These Terms
These Terms of Service govern your use of the Quantum Web Design website and the services we provide. By engaging our services, you agree to be bound by these terms. Please read them carefully before proceeding.
Quantum Web Design Ltd is a company registered in England and Wales. Our registered address is in Washington, Tyne and Wear, United Kingdom.
2. Our Services
We provide web design, web development, and website care plan services to businesses and individuals. The specific scope of work for any project will be agreed in writing before work commences, typically via a formal proposal or project brief.
3. Quotations and Project Agreements
- All quotations are valid for 30 days from the date of issue unless otherwise stated.
- A project is confirmed once you have signed or accepted a proposal and paid any required deposit.
- Any changes to the agreed scope of work may result in additional charges, which will be communicated to you in advance.
- We reserve the right to decline any project at our discretion.
4. Payment Terms
- A deposit (typically 50% of the total project cost) is required before work begins.
- The remaining balance is due upon project completion, prior to the website going live.
- Invoices are due within 14 days of the invoice date unless otherwise agreed.
- Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- We reserve the right to suspend or withhold deliverables until outstanding payments are received.
5. Client Responsibilities
To enable us to deliver your project efficiently, you agree to:
- Provide all required content, images, and materials in a timely manner
- Respond to requests for feedback or approval within a reasonable timeframe
- Ensure that any materials you supply do not infringe third-party intellectual property rights
- Provide accurate business information for use on your website
Delays caused by late provision of content or feedback may affect agreed timelines and are not the responsibility of Quantum Web Design.
6. Intellectual Property
- Upon receipt of final payment, ownership of the completed website design and custom code transfers to you.
- We retain the right to display completed work in our portfolio unless you request otherwise in writing.
- Any third-party elements (stock images, fonts, plugins) remain subject to their respective licences.
- We retain ownership of any proprietary tools, frameworks, or code libraries used in building your site.
7. Website Care Plans
- Care plans are billed monthly and can be cancelled with 30 days' written notice.
- Care plan fees are non-refundable for the current billing period upon cancellation.
- We will make reasonable efforts to maintain uptime and perform updates, but cannot guarantee 100% availability.
- Care plans do not cover major redesigns, new functionality, or third-party service failures.
8. Revisions and Amendments
Most packages include a set number of revision rounds as outlined in your proposal. Revisions beyond the agreed scope may be charged at our standard hourly rate. "Revisions" refers to minor adjustments to agreed designs — significant changes to scope or direction are treated as new work.
9. Limitation of Liability
To the fullest extent permitted by law, Quantum Web Design Ltd shall not be liable for any indirect, incidental, or consequential loss arising from the use of our services or your website. Our total liability in any matter shall not exceed the total fees paid by you for the relevant project or service.
We are not responsible for any downtime, data loss, or security issues caused by third-party hosting providers, plugins, or services outside of our direct control.
10. Termination
Either party may terminate a project agreement with written notice. In the event of termination by the client, any work completed to date will be invoiced at a fair proportion of the agreed project cost. Deposits are non-refundable.
11. Governing Law
These terms are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
